Terms & Conditions

These Partner Terms (“Terms”) govern participation in the LedgerBee Partner Program and form part of the legally binding agreement between LedgerBee Technologies A/S (“LedgerBee”) and the entity signing the Partner Order Form (“Partner”). By submitting the Partner Order Form, the Partner accepts these Terms.

The Terms operate alongside the following policies:

  • Terms & Conditions

  • Data Processing Agreement (DPA)

  • Privacy Policy

If inconsistencies arise, the Partner Order Form takes precedence. Participation in the Partner Program does not grant exclusivity. LedgerBee reserves the right to work with other partners, resellers, or customers directly.  This agreement is governed by Danish law and disputes shall be resolved in the courts of Denmark.

 

1. Introduction

The LedgerBee Partner Program is designed for professional service providers, consultants, implementation firms, and technology partners who promote, implement, or integrate the LedgerBee platform for mutual customers.

These Terms define the roles, responsibilities, commission rules, quality requirements, and commercial framework for all partner types.

 

2. Partner Categories

All Partners are subject to these Terms. Partners designate their category in the Partner Order Form, which determines the applicable benefits and obligations.

 

2.1 Trusted Advisor Partners

(Accountants, bookkeepers, advisory firms, and consultants)

Activities: selling LedgerBee licenses, advising customers, onboarding, and 1st-line support.

 

2.2 Implementation Partners

(Implementation, configuration, training, and onboarding specialists)

Activities: implementing and supporting customers; may also sell licenses.

 

2.3 Integration Partners

(Technology partners building integrations, apps, or add-ons)

Activities: developing and maintaining integrations that generate customer leads.

 

 

3. Definitions

“ARR” or “Annual Recurring Revenue”

The annualized license subscription value sold to a customer at the time of contract signing. ARR means the annualized value of the customer’s license subscription at the time of signing the contract, excluding one-time fees, transaction fees, and usage-based charges.

 

“Quarterly License Revenue”

The sum of ARR sold within a given quarter by the Partner.

 

“Kickback” / “Commission”

The percentage of ARR (or renewal revenue where applicable) payable to the Partner.

 

“Lead”

A potential customer registered by the Partner in the Partner Portal.

 

“Partner Portal”

The system used to register leads, track performance, manage certifications, and review commission statements.

“Certification Program”

LedgerBee’s competency program, mandatory for selected partner types from Q2 2026.

 

4. Enrollment & Eligibility

Partnership begins when LedgerBee:

  1. Receives the signed Partner Order Form

  2. Confirms the Partner’s acceptance into the program

 

Ongoing requirements:

  • Meet applicable tier performance criteria

  • Maintain quality standards for onboarding and support

  • Maintain a steady new-business cadence to remain eligible for recurring kickback

  • Comply with independence rules applicable to audit firms

  • Protect customer data under the DPA

 

5. Certification Requirements

Beginning Q2 2026, certification is mandatory for:

  • Trusted Advisor Partners

  • Implementation Partners


Partners failing to obtain or maintain certification may have:

  • Lead registrations suspended

  • Kickbacks withheld

  • Tier downgraded

  • Partnership terminated

LedgerBee may introduce fees for certification and recertification.

6.3 Integration Partners

7. Kickback & Commission Rules

7.1 Scope

Kickback applies only to:

  • License subscription revenue (ARR)

 

Kickback does not apply to:

  • Corporate card fees & Scheme

  • Payment processing fees

  • Transaction-based revenues

  • AI modules (e.g., LedgerBee AI)

 

7.2 Year 1 Kickback

  • Calculated as a % of ARR (Annual Recurring Revenue) sold

  • If a customer terminates early, kickback is prorated

 

7.3 Recurring Kickback Years 2–3 (where applicable)

  • Paid only if the customer renews

  • Paid only after LedgerBee receives and reconciles renewal payment

  • Partner must maintain its expected new-business cadence to stay eligible

  • No recurring kickback after Year 3

 

7.4 Discounts

  • Discounts reduce the kickback proportionally

  • Partners must stay within their tier-based discount limits

 

7.5 Reconciliation & Payment

  • Kickbacks are only paid after LedgerBee has fully reconciled customer payments

  • Partner must issue an invoice to LedgerBee with current month + 20 days payment terms

  • LedgerBee provides quarterly commission statements based on ARR sold in that quarter

 

7.6 Customer Disputes

Any Customer disputes, chargebacks, refunds, or non-payments affecting the underlying license revenue shall be deducted from the next kickback payout, regardless of cause or responsibility. LedgerBee will document such adjustments transparently in the quarterly statement.

8. Lead Registration & Attribution

8.1 Registration

Partners must register leads in the Partner Portal prior to LedgerBee’s engagement.

 

8.2 Validity

Leads remain valid for 90 days, unless:

  • The customer is actively engaged, or

  • LedgerBee approves an extension

 

8.3 Attribution Conflicts

The first valid lead registration prevails.

LedgerBee retains the right to make final attribution decisions.

 

9. Partner Responsibilities

Partners must:

  • Represent LedgerBee accurately and professionally

  • Deliver onboarding, advisory, and implementation services to expected standards

  • Maintain customer satisfaction and ethical conduct

  • Comply with independence rules as applicable

  • Use LedgerBee trademarks only as permitted

  • Ensure data protection compliance under GDPR and the DPA

 

10. LedgerBee Responsibilities

LedgerBee will provide:

  • Access to partner resources, documentation, and branding assets

  • The Partner Portal for lead registration and commission overview

  • Technical support relevant to partner category

  • Marketplace exposure for approved integrations

  • Commission statements and reconciliation once per quarter

 

 

11. Term, Suspension & Termination

 

11.1 Term

These Terms apply for the duration of the Partner’s participation in the Partner Program.

 

11.2 Suspension

LedgerBee may suspend a Partner for:

  • Non-compliance

  • Certification failure (after Q2 2026)

  • Fraud or unethical lead handling

  • Data protection breaches

  • Material breach of these Terms

  • Disloyal behavior 

 

11.3 Termination

Either party may terminate with 30 days’ notice.

Material breaches may allow immediate termination.

 

11.4 Effects of Termination

  • No commissions accrue after the termination date

  • Earned commissions remain payable

  • Partner must cease use of LedgerBee branding

  • Customer relationships are transferred to LedgerBee

 

 

12. Compliance, Liability & Legal

12.1 Independence Requirements

Audit and assurance firms must comply with applicable independence rules; LedgerBee may require separation of entities where needed.

12.2 Confidentiality

Both parties must keep non-public information confidential.

 

12.3 Data Protection

Partners must comply with GDPR and LedgerBee’s DPA.

 

12.4 Liability Cap

LedgerBee’s maximum aggregate liability under these Partner Terms is strictly limited to:

DKK 5,000. This limitation applies regardless of the cause of action.

 

13. Modifications to Program

LedgerBee may update these Partner Terms or the Partner Program at any time.

Material changes will be communicated with 30 days’ notice.

Continued participation after changes take effect constitutes acceptance.

 

14. Acceptance

By submitting the Partner Order Form and participating in the Partner Program, the Partner agrees to these Terms and all policies incorporated by reference.
